    1. Service Description

    InventoryPilot AI ("Provider," "we," "us") provides an AI-powered vehicle description generation service for automotive dealerships ("Client," "you"). Our service generates unique, search-optimized vehicle descriptions and delivers them directly to your vAuto Inventory Comments field.

    2. Subscription Terms

    • Pricing — The service costs $399 per month for unlimited vehicles.
    • Billing — Subscriptions are billed monthly on a recurring basis. Payment is processed through Stripe.
    • No Contract — There is no long-term contract. You may cancel at any time.
    • No Setup Fee — There are no setup fees or per-vehicle charges.
    • Cancellation — You may cancel your subscription at any time. Service will continue through the end of your current billing period. No refunds are provided for partial billing periods.

    3. Client Obligations

    To use our service, you agree to:

    • Provide accurate dealership and contact information during signup
    • Create a vAuto user account for InventoryPilot AI with access to edit Inventory Comments
    • Maintain an active vAuto subscription
    • Notify us of any changes to your vAuto access or account status

    4. Service Delivery

    Upon completion of setup, we will:

    • Process your active inventory within 24 hours
    • Generate unique, AI-optimized descriptions for each vehicle
    • Deliver descriptions directly to your vAuto Inventory Comments field
    • Refresh active inventory descriptions on a weekly basis
    • Automatically detect and process new vehicles added to your inventory

    5. Intellectual Property

    All AI-generated vehicle descriptions created for your inventory are provided for your use in connection with your dealership's vehicle listings. You may use the descriptions on your website, third-party listing platforms, and marketing materials. The underlying AI technology, algorithms, and proprietary methods remain the exclusive property of InventoryPilot AI.

    6. AI-Generated Content

    Vehicle descriptions are generated by artificial intelligence and are provided "as is." While we strive for accuracy and quality, AI-generated content may occasionally contain errors or inaccuracies. You are responsible for reviewing descriptions and ensuring they comply with applicable advertising regulations in your jurisdiction. We recommend not manually editing AI-generated descriptions, as modifications may reduce their search optimization effectiveness.

    7. Data Access and Security

    Our vAuto integration requires only access to edit Inventory Comments (descriptions). We do not access, view, or store your pricing data, lead information, appraisal values, or any other sensitive dealership data. We implement industry-standard security measures to protect all data in our systems.

    8. Limitation of Liability

    To the maximum extent permitted by law, InventoryPilot AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our service. Our total liability for any claims arising under these terms shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

    9. Indemnification

    You agree to indemnify and hold harmless InventoryPilot AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service, your violation of these terms, or your violation of any third-party rights.

    10. Acceptable Use

    You agree not to:

    • Use the service for any unlawful purpose
    • Attempt to reverse-engineer our AI technology or algorithms
    • Resell or redistribute AI-generated descriptions to third parties
    • Provide false or misleading information during signup
    • Interfere with or disrupt the service or its infrastructure

    11. Modifications to Terms

    We reserve the right to modify these terms at any time. Material changes will be communicated via email or through our website. Continued use of the service after changes take effect constitutes acceptance of the modified terms.

    12. Governing Law

    These terms are governed by and construed in accordance with the laws of the State of Texas. Any disputes arising under these terms shall be resolved in the courts of Travis County, Texas.

    13. Electronic Signatures

    By using our service, you acknowledge and agree that electronic signatures, including digital service agreements, are legally binding under the Electronic Signatures in Global and National Commerce (E-Sign) Act.
